This contract ("Contract") is made and entered into on 21/12/2024 between Stone Manor ("Client") and PHOTOXPEDIA STUDIO (“Developer").
Scope of Works
Develop a comprehensive website for Stone Manor, utilizing WordPress as the base platform, integrated with WooCommerce for e-commerce functionality, and further enhanced with the Woo Ticket plugin for ticketing options.

Timeline
Phase 1: Planning and Design (March 1 - March 15)
Phase 2: Development (March 16 - April 30)
Phase 3: Testing and Refinement (May 1 - May 15)
Phase 4: Launch Preparation (May 16 - May 31)
Launch Day: June 1
Payment
The Client shall remunerate the Developer with an aggregate labor fee of $3200. This sum shall be disbursed in two equal installments: the first installment, constituting 50% of the total fee, is payable upon the commencement of the project; the second installment, comprising the remaining 50% of the total fee, is due upon successful delivery of the project, in accordance with the agreed-upon timeline and milestones.
Intellectual Property
The Client acknowledges that all intellectual property rights in the work created by the Developer for the Client under this Contract shall belong to the Client upon completion and payment of all fees due under this Contract.
Warranties and representations
The Developer warrants that the work will be performed in a professional and workmanlike manner and that the work will conform to the specifications outlined in the Proposal. The Developer further warrants that it has the right to enter into this Contract and to perform the services contemplated herein, and that the services and work provided under this Contract will not infringe upon any intellectual property rights of any third party.
Confidentiality
The Developer agrees that all information related to the Client's business and operations, and all work product created by the Developer in the course of providing services under this Contract, shall be considered confidential and proprietary. The Developer agrees to take all reasonable steps to protect the confidentiality of such information and work product, and to not disclose such information or work product to any third party without the Client's prior written consent.
Termination
Either party may terminate this Contract at any time upon written notice to the other party if the other party breaches any material term or condition of this Contract and fails to cure such breach within 30 days of receipt of written notice from the non-breaching party.
Limitation of Liability
The Developer shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with this Contract or the services provided hereunder, regardless of the cause of action or theory of liability.
Governing law and venue
This Contract shall be governed by and construed in accordance with the laws of the Virginia State, USA, without regard to its conflicts of law provisions. Any dispute arising under this Contract shall be resolved exclusively in the state or federal courts located in Herndon, VA, and the parties hereby consent to the jurisdiction of such courts.
Entire agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, with respect to the subject matter of this Contract.
