Photography Services Agreement

This Agreement is made effective as of 27/07/2024, by and between Bolor Auto Dealership, ("Client"), located at , Bolor, (Client Representer) and PHOTOXPEDIA Studio, ("Photographer"), located at 449 Carlisle Dr, Unit B, Herndon, VA 20170.

1. Services Provided:

• Duration: This Agreement shall commence on the effective date and continue for a term of 1 year.
• Scope of Work: The Photographer will deliver a minimum of lightly retouched images in JPG format per vehicle for up to vehicles per month. Each image will be charged at a rate of $
  .

2. Additional Services:

• Additional Vehicles: Photography for more than 10 vehicles in any given month will be charged at a rate of $ per image.

3. Payment:

• Monthly Invoice: The Photographer will invoice the Client at the end of each month for the initial 10 vehicles and any additional vehicles as per the terms outlined.
• Payment Terms: The Client agrees to pay the invoice within 30 days of receipt.

4. Deliverables:

• Image Delivery: The Photographer agrees to deliver a minimum of lightly retouched images in JPG format for each vehicle photographed.
• File Organization: Images will be organized in folders by the date and car model.
• Delivery Timeline: Deliverable files will be delivered within 24 to 48 hours after each photo shoot.

5. Schedule:

• : The Photographer agrees to visit the dealership every at to perform the photography services.

6. Preparation of Vehicles:

• Vehicle Condition: The Client agrees to have the vehicles prepared and clean for photography at the scheduled times. Failure to prepare the vehicles as agreed may result in rescheduling and potential additional costs.

7. Rights and Usage:

• Usage Rights: Upon full payment, the Client will obtain the rights to use the images for commercial and promotional purposes.
• Photographer's Rights: The Photographer retains the right to use the images for their portfolio and marketing materials unless otherwise negotiated.

8. Cancellation and Termination:

• Termination: Either party may terminate this Agreement with 30 days written notice. In the event of termination, the Client will be responsible for payment for services rendered up to the point of termination.

9. Liability:

• Limitation of Liability: The Photographer will not be liable for any claims related to the services provided beyond the total fee charged for services rendered under this Agreement.

10. Miscellaneous:

• Governing Law: This Agreement shall be governed by the laws of the State of Virginia.
• Entire Agreement: This Agreement contains the entire agreement between the parties and supersedes any prior understandings or agreements, oral or written.
