This Agreement is entered into as of [Date], by and between PHOTOXPEDIA Studio, hereinafter referred to as the “Studio,” and [Member’s Full Name], hereinafter referred to as the “Member.”
1. Membership Term The term of this membership agreement shall commence on [Start Date] and shall continue for a period of one (1) year, ending on [End Date], unless terminated earlier in accordance with the provisions of this agreement.
2. Membership Fee The Member agrees to pay a membership fee of $150.00 (One Hundred Fifty Dollars) for the one-year membership term. This fee is due in full upon the execution of this agreement and is non-refundable, except as otherwise provided in this agreement.
3. Membership Benefits
The Member shall be entitled to a 50% discount on podcast recording services offered by the Studio.
This discount applies to standard podcast recording service rates and cannot be combined with other promotions or discounts.
The Member may have access to additional benefits as described in the attached Schedule A, which may be updated from time to time by the Studio.
4. Use of Services
The Member agrees to comply with all policies and procedures related to the use of the Studio’s podcast recording services.
The Company reserves the right to modify the terms of service, including rates, hours of operation, and available equipment, upon reasonable notice to the Member.
5. Renewal and Termination
This membership will automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least 30 days prior to the end of the then-current term.
Either party may terminate this agreement for cause if the other party materially breaches this agreement and fails to cure such breach within 30 days after receiving written notice of the breach.
6. No Guarantees The Studio makes no guarantees regarding the success of the Member’s podcast or the impact of the services provided on the Member’s podcast audience or revenue.
7. Limitation of Liability The Studio shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, incurred by the Member or any third party, whether in an action in contract or tort, even if the Studio has been advised of the possibility of such damages.
8. Governing Law This agreement shall be governed by and construed in accordance with the laws of Virginia, USA, without regard to its conflict of law provisions.
9. Entire Agreement This agreement constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, representations, and warranties, both written and oral, with respect to its subject matter.
10. Amendment This agreement may only be amended, modified, or supplemented by an agreement in writing signed by each party hereto.
